Terms of Service

1. Acceptance

By accessing or using NagareOps ("Service"), operated by JK.Creative LLC, a Washington State limited liability company ("we," "us," "Company"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Accounts

NagareOps uses magic-link authentication — we send a one-time login link to your email address. No password is stored. You are solely responsible for the security of your email account. Sharing, forwarding, or otherwise distributing login links to third parties is prohibited and may result in immediate account termination.

3. Service Description

NagareOps provides AI-assisted document drafting tools for hospitality operators — restaurants, hotels, private clubs, event venues, catering operations, and bars. The Service currently offers 14 products across three tiers: ShiftBrief, HirePost, AttendeeNotes, PostEventThank, IncidentReport, ShiftLog, StaffPulse, RunOfShow, EventDebrief, ShiftFill, InspectionPrep, BEO Builder, VendorBrief, and OnboardKit. Products are subject to change; we will notify you of material changes per Section 15.

4. Subscriptions

Subscription products are billed monthly and auto-renew through Square until cancelled. You may cancel at any time from your /account page. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for partial billing periods. Continued access through the end of the paid period is your sole remedy upon cancellation.

5. One-Time Purchases

Certain products (IncidentReport — $30; InspectionPrep — $50; RunOfShow, EventDebrief, VendorBrief — per-event pricing) are sold as single-use credits. All one-time purchases are non-refundable once the AI draft has been generated. Exception: IncidentReport purchases include a 48-hour re-pull grace period — you may regenerate the draft once within 48 hours of original generation at no additional charge. After 48 hours, a new purchase is required.

6. Prohibited Uses

You may not: (a) submit unlawful, defamatory, or fraudulent content to any generator; (b) attempt to reverse-engineer, decompile, or extract model weights or proprietary logic from the Service; (c) scrape, crawl, or systematically harvest output from the Service for any competing product; (d) share or distribute magic-link login URLs; (e) circumvent rate limits, access controls, or subscription gates; (f) use generated output to facilitate employment discrimination, consumer fraud, or regulatory misrepresentation.

7. Intellectual Property

You retain all rights to the inputs you submit (shift notes, incident details, guest information, etc.). Upon generation, we grant you a broad, non-exclusive, royalty-free license to use the generated draft in your business operations, internal records, and communications. JK.Creative LLC retains all rights to the NagareOps platform, prompts, models, UI, and underlying code. You may not sublicense or resell generated output as a standalone product or service.

8. AI Disclaimer

Generated drafts are operational starting points — not legal advice, HR advice, compliance advice, or professional guidance of any kind. You must review every generated document before acting on it, distributing it, or filing it. Do not rely on IncidentReport output as a substitute for a formal HR investigation. Do not rely on InspectionPrep output as a certification of regulatory compliance. Do not rely on OnboardKit output as a substitute for employment counsel review. Human review is required before any generated document enters an official or regulated context.

9. Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, JK.CREATIVE LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, PURSUANT TO UCC § 2-316. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR SUITABLE FOR YOUR INTENDED USE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JK.CREATIVE LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL JK.CREATIVE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to defend, indemnify, and hold harmless JK.Creative LLC and its members, officers, and contractors from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit to the Service.

12. Binding Arbitration & Class Action Waiver

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, not in court. You waive any right to participate in a class action, class arbitration, or representative proceeding. You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@jkcreative.store with subject line "Arbitration Opt-Out." Small claims court actions remain available where eligible.

13. Force Majeure

JK.Creative LLC is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, utility outages, third-party service failures (AI providers, cloud infrastructure, payment processors), cyber-attacks, or government actions.

14. Personal Liability Shield

NagareOps is operated by JK.Creative LLC, a limited liability company. All claims must be brought against JK.Creative LLC only — not against any individual member, officer, employee, or contractor of JK.Creative LLC in their personal capacity.

15. Modifications

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email to your registered address. Continued use after the effective date constitutes acceptance. For non-material changes (typos, clarifications, formatting), no notice period is required.

16. Termination

Either party may terminate the account at any time. We may suspend or terminate immediately for violations of Section 6, fraud, chargebacks, or abuse. Upon termination, your license to use the Service ends and we may delete your data consistent with our Privacy Policy.

17. Governing Law

These Terms are governed by the laws of the State of Washington and applicable federal law, without regard to conflict-of-law principles. Any court proceedings (where arbitration does not apply) shall be brought in King County, Washington.
